This User Service Agreement ("Agreement") is jointly entered into by the entity (HAPPYMAX PTE. LTD., hereinafter referred to as "we", "us", "our") operating this TikTok Mini Program ("Mini Program") and providing relevant services and the users ("you", "your", "user") who use the services of this Mini Program. Please carefully read and fully understand all terms of this Agreement, especially the clauses that exempt or limit our liabilities, restrict your rights, stipulate dispute resolution methods, and special legal provisions relating to California consumer protection, personal information privacy, and digital content licensing. If you have any questions, objections to the content of this Agreement, or do not agree with any provision herein, PLEASE DISCONTINUE USE OF THE MINI PROGRAM IMMEDIATELY. Your continued access, browsing or use of any functions and services of this Mini Program shall be deemed that you have read, understood and unconditionally accepted all terms of this Agreement, including any revised versions subsequently issued by us in accordance with updates of laws and regulations or business operation adjustments.
: An application developed and operated by us, embedded in the TikTok platform, which provides users with functions and related services including but not limited to short-form drama trial viewing, ad-unlocked viewing, and content browsing. User: A natural person who meets the age requirements stipulated in this Agreement, logs in and uses the Mini Program services through TikTok account authorization, excluding entities that use the Mini Program for commercial or illegal purposes. Short-form Drama Content: Short-duration audiovisual programs provided via this Mini Program by us through legal authorization or independent production, including but not limited to dramatic, comedy, romance and other types of short-form drama works, as well as AI real-person dramas and AI animation dramas. Trial Viewing Service: A free service provided by us for users to browse part of short-form drama content (such as the first 1-3 episodes or clips) for the purpose of understanding the details of the dramas. Ad-Unlocking Service: A service where users unlock access to corresponding short-form drama episodes/content for free after viewing compliant incentive advertisements in the Mini Program.
1.2 Rules of Interpretation The headings of the clauses in this Agreement are set for convenience of reading only and shall not affect the meaning and legal effect of the clauses themselves; the expression "including but not limited to" in this Agreement shall be construed as including the listed matters and other relevant matters of similar nature; the legal bases involved in this Agreement refer to the currently effective U.S. federal laws, local laws of the State of California (including but not limited to the CCPA/CPRA, Section 1798.99.1 of the California Civil Code, Assembly Bill 2426, etc.) and official rules of the TikTok platform as of the date of your acceptance of this Agreement.
("Services") through this Mini Program, and the specific service content may be updated and adjusted irregularly according to business operation conditions: • Trial Viewing Service: You may freely trial watch part of the short-form dramas available on this Mini Program; the scope and duration of trial viewing shall be reasonably determined by us according to the type and length of the dramas, and we reserve the right to adjust trial viewing rules based on actual operation conditions. • Ad-Unlocking Service: No payments, top-ups, or memberships at any stage. Users unlock corresponding episodes/content by viewing compliant incentive advertisements. • Other Services: Including but not limited to supporting services such as content recommendation, viewing history recording, user account management, and customer service consultation; we reserve the right to add and optimize relevant service content according to business development. Special Notice: Pursuant to the requirements of applicable law and this Agreement, the digital content you may use through this Mini Program (full episodes of short-form dramas, membership rights, etc.) is only a license for use, not a transfer of ownership; you shall not transfer, lease, lend or share the obtained content usage right to any third party, nor shall you conduct infringing acts such as copying, tampering or disseminating the content.
2.2 Usage Conditions You must meet all of the following conditions to use the services of this Mini Program; otherwise, we reserve the right to refuse service provision and terminate your usage rights: • Age Requirement: You must be at least 18 years old (or the legal age of majority in your jurisdiction), have full civil capacity, and be able to independently bear all legal liabilities arising from the use of this service; if you are under 18 years old (a minor), you may only use this Mini Program with the consent and full supervision of your parent or legal guardian. • Subject Qualification: You warrant that you are a natural person and use this service solely for personal entertainment purposes, not for commercial operations, illegal activities or other purposes violating this Agreement and applicable laws and regulations. • Equipment and Network: You shall prepare smart devices (mobile phones, tablets, etc.) and network environment required for using this Mini Program on your own, bear relevant costs such as equipment loss and network traffic, and be responsible for the security of devices and stability of the network. • Compliance Commitment: You warrant to comply with current U.S. federal laws, laws of the State of California, TikTok platform rules and all provisions of this Agreement, and not to engage in any illegal acts or acts infringing upon the legitimate rights and interests of us or third parties.
3.1 Account Registration and Login You need to log in to this Mini Program through TikTok account authorization, and no separate exclusive Mini Program account registration is required; your TikTok account information is managed by the TikTok platform, and we will obtain necessary account information in accordance with TikTok platform authorization rules for identity verification and service provision. You shall properly keep your TikTok account and password, and bear full responsibility for all operations conducted after logging in to this Mini Program through such account; if your TikTok account is stolen, information is leaked or abnormal operations occur, you shall immediately notify the TikTok platform and us. We will take measures such as service suspension and identity verification according to actual conditions, but shall not be liable for losses caused by account theft or leakage (except for losses caused by our intentional or gross negligence).
• Your account is limited to personal use only, and shall not be leased, lent, transferred or sold to any third party; otherwise, we reserve the right to terminate account usage rights. • You shall ensure that the information submitted through your account (payment information, contact information, etc.) is true, accurate and complete, and update it in a timely manner after information changes; you shall bear any losses caused by false or incorrect information, such as failure to use services normally or payment failure.
• You have the right to legally use all services provided by this Mini Program in accordance with the provisions of this Agreement, including browsing and watching short-form drama content, and enjoy supporting services such as customer service consultation and account management provided by us. • You have the right to put forward reasonable suggestions on the service quality, content update and function optimization of this Mini Program, and we will consider and respond according to actual conditions. • You have the right to supervise the integrity of labels and compliance of AI-generated content (AI real-person dramas and AI animation dramas); if you find that AI content is not labeled in accordance with regulations, contains false information or infringes upon rights, you have the right to complain and feedback to us, and we will verify and handle it in a timely manner.
• You shall strictly abide by all provisions of this Agreement, U.S. federal laws, laws of the State of California, relevant applicable laws and TikTok platform rules, and shall not use this Mini Program to engage in any illegal or irregular activities. • You shall not conduct infringing or irregular operations such as copying, tampering, disseminating, leasing, selling, reverse engineering or disassembling any content in this Mini Program (including short-form dramas, AI real-person dramas, AI animation dramas, interface design, program code, etc.), and shall not infringe upon the intellectual property rights (copyright, trademark right, patent right, etc.) of us and third parties. • For AI-generated content, you shall not avoid AI labels, tamper with AI content before dissemination, or use AI content to create false information or infringe upon the legitimate rights and interests such as portrait rights and reputation rights of others. • You shall truthfully provide personal relevant information and shall not submit false or illegal information; if the service cannot be used or legal liabilities arise due to the irregular information provided by you, you shall bear the liability yourself; at the same time, you shall respect the legitimate rights and interests of other users and shall not publish improper information such as insults, defamation and harassment.
• We have the right to update the service content, functions of this Mini Program and the terms of this Agreement according to business development, updates of laws and regulations (including revisions of relevant laws in California and other applicable laws) and adjustments of TikTok platform rules; after the update, we will notify you through Mini Program announcements, pop-ups and other methods, and your continued use of the service shall be deemed acceptance of the updated terms. • We have the right to review, screen and edit short-form drama content (including AI real-person dramas and AI animation dramas), have the right to take down content that does not comply with laws and regulations, the provisions of this Agreement and TikTok platform rules, and we have the right to remove or delete the expired content. • The short dramas we play for you may contain content marked "to be continued", and we do not guarantee that we have provided you with the complete and full content of such dramas. • If you violate the provisions of this Agreement, laws and regulations or TikTok platform rules, we have the right to take measures such as warning, restricting services, and terminating your access; the losses arising therefrom shall be borne by you; if losses are caused to us or third parties, we have the right to claim compensation from you.
• We shall provide stable and compliant services in accordance with the provisions of this Agreement, ensure the normal operation of the Mini Program, and make every effort to avoid service interruptions, malfunctions and other problems; if service abnormalities occur, we shall timely investigate and repair them, and notify you through reasonable methods. • We shall ensure that the provided short-form drama content (including AI real-person dramas and AI animation dramas) is legal and compliant, has obtained legal authorization, and does not infringe upon the legitimate rights and interests such as intellectual property rights, portrait rights and reputation rights of third parties. • We shall provide effective customer service consultation channels, timely respond to users' consultations, complaints and suggestions, verify and handle the problems fed back by users, and feed back the handling results to users.
We enjoy complete intellectual property rights (including copyright, trademark right, patent right, trade secret, etc.) to all content of this Mini Program (including but not limited to short-form drama content, AI real-person dramas, AI animation dramas, program code, interface design, trademarks, logos, words, pictures, audio, video, etc.); without our written authorization, you shall not arbitrarily use, copy, disseminate, modify, transfer or sell the above content, otherwise you shall bear corresponding tort liability.
• If this Mini Program cannot operate normally, services are interrupted, or you cannot use the services normally due to force majeure (including but not limited to earthquakes, floods, typhoons, wars, policy adjustments, network interruptions, server failures, etc.), we shall not be liable, and shall not compensate for any losses caused to you; after the occurrence of force majeure, we will try our best to notify you in a timely manner and take corresponding remedial measures. • If you cannot use this service normally or access content due to your own equipment failure, network problems, operational errors, TikTok platform failures, we shall not be liable, and the relevant losses shall be borne by you. • If you violate the provisions of this Agreement, laws and regulations or TikTok platform rules, resulting in losses to yourself or third parties, you shall bear full responsibility yourself, and we shall not bear any liability; if losses are caused to us, we have the right to claim compensation from you. • The short-form drama content (including AI real-person dramas and AI animation dramas) provided by this Mini Program is for entertainment purposes only and does not constitute any form of advice, commitment or guarantee; if you have any misunderstanding, dispute or loss due to watching the content, we shall not be liable. • For AI-generated content, if there are minor defects in the content (not affecting compliance) due to the limitations of AI technology itself, deviations in training data, etc., or disputes arising from the objections of copyright owners to AI training data (we have fulfilled the recording and disclosure obligations in accordance with the requirements of applicable laws), we shall not bear relevant liabilities; relevant disputes shall be resolved through negotiation between the copyright owner and us, without affecting your normal use of the service. • We have made reasonable efforts to review the content, but cannot completely avoid minor errors and omissions in the content; if you find such problems and feedback, we will rectify them in a timely manner, but shall not bear the losses caused to you thereby.
8.1 Modification of the Agreement We have the right to modify and supplement the terms of this Agreement according to the update of laws and regulations, adjustment of business operations and changes of TikTok platform rules; the modified Agreement will be notified to you through Mini Program announcements, pop-ups and other methods; your continued use of this service shall be deemed acceptance of the modified Agreement; if you do not agree with the modified Agreement, you may stop using this service, and the rights and obligations of both parties shall terminate.
• You may stop using the Services at any time; after stopping use, this Agreement will automatically terminate, and we will stop providing Services for you. • If you violate the provisions of this Agreement, laws and regulations or TikTok platform rules, we have the right to terminate this Agreement, stop providing services for you, and the losses arising therefrom shall be borne by you. • If this Mini Program cannot continue to operate due to force majeure, our business adjustment, termination of cooperation with TikTok platform and other reasons, this Agreement will automatically terminate; we will notify you in advance or within a reasonable period. • After the termination of the Agreement, we will stop collecting your personal information, delete or anonymize the collected personal information in accordance with applicable laws and regulations, and no longer use your personal information; you shall stop using all services of this Mini Program and shall not obtain or disseminate the content of this Mini Program in any way.
This Agreement is governed exclusively by the substantive laws of the State of California and the United States federal laws, without regard to its conflict of law rules. All controversies, disputes or claims stemming from the Services, data privacy matters, breach or interpretation hereof shall be submitted to binding arbitration administered by AAA in Los Angeles County, California, in accordance with its Commercial Arbitration Rules, international arbitration rules and the Federal Arbitration Act (FAA). Arbitration shall proceed in English; all class proceedings, jury trials and representative actions are irrevocably waived by both parties. Any rendered arbitral award is final and may be enforced in any competent jurisdiction pursuant to the New York Convention.
• We agree that our customer service contact information shall be subject to that displayed in the Mini Program; if the contact information changes, we will notify you through the Mini Program announcement or other reasonable and available means. • This Agreement shall take effect from the date you first use the Services of this Mini Program and shall remain valid until the date you stop using the Services or this Agreement is terminated.
